Welcome to Our Web Site located at https://capitaladvance.ca (“The Web Site”). https://capitaladvance.ca is the registered business names of Capital Advance Corp. (referred to as the “Company”, “We” or “Us” or “Our”), an Ontario corporation with a registered head office in Toronto, Ontario. We are in the business of assisting business clients to obtain funding or related financial services (“Services”) either from Ourselves or through other third party credit providers.

  1. Acceptance of the Terms of Use

BY SUBMITTING AN ONLINE APPLICATION FOR FINANCING OR SIMPLY BY BROWSING THIS WEB SITE, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD AND AGREE TO THE FOLLOWING TERMS AND CONDITIONS, INCLUDING ANY REFERENCED DOCUMENTS SUCH AS THE PRIVACY POLICY COLLECTIVELY, THESE “TERMS OF USE”).THESE TERMS OF USE APPLY TO YOUR USE OF THE WEB SITE AND OUR SERVICES WHETHER YOU ARE A GUEST OR A REGISTERED USER.

IN ADDITION, IF YOU RECEIVE FINANCING FROM US OR OTHER THIRD PARTY YOU AGREE TO BE BOUND THE TERMS AND CONDITIONS OF SUCH LOAN AGREEMENT.

You represent to Us that you have the legal authority to bind your company or entity applying for credit and that all information provided to or submitted to Us in true and accurate in all respects. By making a loan application, you authorize us to run a credit check on your business organization.

We reserve the right to add to or remove, modify or otherwise change any part of these Terms of Use at any time. Changes will be effective when the changed Terms of Use are posted on this Site. You should check the Terms of Use frequently for changes by checking the date next to “Last Updated” at the top of this document. If any change to the Terms of Use is not acceptable to you, you should discontinue your use of this Web Site immediately. 15. Indemnification

You agree to defend, indemnify and hold harmless Capital Advance Corp., its affiliates and licensors and their respective officers, directors, employees, contractors, agents, licensors and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) resulting from your violation of these Terms of Use or your use of the Web Site, including, without limitation, any use of the Web Site’s content, services and products other than as expressly authorized in these Terms of Use or your use of any information obtained from the Web Site.

16. Governing Law and Jurisdiction – ONTARIO

These Terms of Use and any dispute or claim arising out of, or related to, them, their subject matter or their formation (in each case, including non-contractual disputes or claims) or the Services We provide to you shall be governed by and construed in accordance with the internal laws of the Province of Ontario without giving effect to any choice or conflict of law provision or rule (whether of the Province of Ontario or any other jurisdiction).

Any legal suit, action or proceeding arising out of, or related to, these Terms of Use or the Web Site shall be instituted exclusively in the federal courts of Canada or the courts of the Province of Ontario, in each case located Toronto, Ontario, although We retain the right to bring any suit, action or proceeding against you for breach of these Terms of Use in your province of residence or any other relevant country. You agree to waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

17. Waiver and Severability

No waiver of these Terms of Use by US shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure of US to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

18. Entire Agreement

The Terms of Use and Our Privacy Policy constitute the sole and entire agreement between us and replace any prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Web Site or Our Services.
